These Terms & Conditions (the “Terms”) govern access to and use of metricop.com, requests for quotations, website orders and sales made by Surveying Equipment Metricop LLC (“Metricop”, “we”, “us” or “our”), unless a quotation, proforma invoice, order confirmation or invoice expressly identifies another legal entity as the seller.

This registered address is not a retail store or an authorised return location. Products must not be returned to this address unless it is expressly stated in written Return Merchandise Authorisation (“RMA”) instructions.

These Terms apply only to orders placed on or after the effective date above. Earlier orders remain subject to the terms accepted when those orders were placed.

1. Definitions

A Consumer is an individual purchasing primarily for personal, family or household use.

A Business Customer is any company, organisation, government body, public authority, educational institution, reseller, sole trader or individual purchasing primarily for commercial, professional, surveying, engineering, construction, research or resale purposes.

Using a personal name, email address, payment card or delivery address does not make a professional or commercial purchase a Consumer purchase.

An Order Document means an accepted quotation, proforma invoice, order confirmation, written sales confirmation or invoice relating to a specific transaction.

2. Agreement and order of priority

By using the website, submitting an order or accepting a quotation or proforma invoice, you agree to the version of these Terms made available to you at that time.

The following documents also form part of the agreement where applicable:

  • the relevant Order Document;

  • the Shipping & Delivery Policy;

  • the Returns, Cancellations & Refunds Policy;

  • the Limited Warranty & RMA Policy;

  • the Privacy & Cookie Policy; and

  • any product-specific licence, warranty, condition report or written terms supplied before purchase.

If there is a conflict, the terms expressly stated in the applicable Order Document take priority for that transaction, followed by these Terms and then the other referenced policies. A product-specific written warranty or condition statement controls the warranty or condition of that product.

Terms printed or referenced in a Business Customer’s purchase order do not apply unless Metricop expressly accepts them in a separate writing signed by an authorised representative.

Mandatory rights that cannot lawfully be excluded always take priority.

3. Website use

You may use this website only for lawful purposes and in accordance with these Terms.

You must not:

  • interfere with the security or operation of the website;

  • introduce malicious code or attempt unauthorised access;

  • scrape, reproduce or commercially exploit website content without permission;

  • submit false, misleading or fraudulent information;

  • impersonate another person or organisation;

  • use the website in violation of export-control, sanctions or other applicable law; or

  • use product information or documentation in a way that infringes another person’s rights.

We may restrict or suspend access where reasonably necessary to protect the website, our customers or our legal interests.

4. Product information

We aim to present product descriptions, specifications, images, compatibility information, availability and pricing accurately. However, manufacturers may change specifications, packaging, accessories, software or product appearance without prior notice.

Images are illustrative unless expressly identified as photographs of the exact unit being sold. Colours and scale may vary depending on the display and image source.

Only the products, accessories, licences and services expressly listed in the applicable product description or Order Document are included. References to compatible products do not mean those products are included.

Pre-owned equipment may show normal signs of prior use. Its condition, included accessories, calibration status and warranty are determined by the specific written condition statement or Order Document.

We may correct typographical, technical or pricing errors. If a material error is discovered after payment but before dispatch, we will notify the Buyer and offer the choice required by applicable law, which may include proceeding on corrected terms or cancelling the affected order for a refund.

5. Product selection and technical guidance

The Buyer is responsible for providing complete and accurate information about the intended application, required accuracy, existing equipment, radio frequencies, software, licences, data formats, coordinate systems, accessories, destination and other relevant requirements.

Any pre-sales recommendation is based on the information provided by the Buyer. It does not replace professional evaluation, field testing, regulatory approval or project-specific validation by the Buyer.

Metricop does not guarantee compatibility with equipment, software, networks or workflows that were not disclosed and expressly confirmed in writing before purchase.

6. Quotations, orders and acceptance

Website listings and quotations are invitations to place an order unless expressly stated otherwise.

Submitting a website order, purchase order or payment does not by itself guarantee acceptance, availability or a delivery date. An automated acknowledgement confirms receipt only.

An order is accepted when Metricop issues an express written order confirmation, confirms acceptance of payment under the applicable Order Document or dispatches the goods, whichever occurs first. A quotation or proforma invoice may specify a different acceptance process.

Metricop may decline or cancel an order before acceptance because of product unavailability, a material pricing or specification error, suspected fraud, payment failure, export-control restrictions, an unsupported destination or another legitimate commercial or legal reason. Any amount received for an order that is not accepted will be refunded.

Quotations are valid only for the period stated in the quotation. Stock and pricing are not reserved unless Metricop confirms reservation in writing.

7. Prices, taxes and payment

Prices are shown in the currency stated on the website or Order Document. Currency-conversion costs or bank charges imposed by the Buyer’s provider are the Buyer’s responsibility.

Unless expressly stated otherwise:

  • prices do not include customs duties, import VAT, brokerage, local taxes or destination charges;

  • the recipient is responsible for import clearance and acts as importer of record; and

  • shipping, insurance, certification, calibration, installation and training are charged separately where applicable.

If Metricop expressly offers a DDP or tax-inclusive price, the included charges and destination will be identified in the Order Document. Charges arising from incorrect information, a change of destination or unusual customs requirements may be charged separately where legally permitted.

Payment must be made using an approved method and within the period stated in the Order Document. Metricop may delay procurement or dispatch until cleared payment and required verification are received.

Title to goods does not pass until Metricop has received full cleared payment, to the extent permitted by applicable law. This reservation of title does not change the allocation of transport risk stated in the Order Document or these Terms.

8. Availability and special orders

Availability statements are subject to prior sale, supplier confirmation and successful order verification.

Products described as special-order, supplier-procured, configured, calibrated, certified, customised, licensed or project-specific may be procured or prepared specifically for the Buyer. Once procurement or preparation begins, cancellation may be refused and the order may be non-returnable as described in the Returns, Cancellations & Refunds Policy.

If a manufacturer discontinues or materially changes a product before dispatch, Metricop may propose an equivalent alternative. The Buyer is not required to accept a materially different substitute and may cancel the affected item for a refund where no acceptable alternative is agreed.

9. Delivery

Delivery and lead-time statements are estimates unless Metricop expressly guarantees a specific date in writing.

Estimated delivery may be affected by supplier availability, payment verification, configuration, export documentation, carrier service, weather, customs clearance, inspections, destination restrictions and events outside Metricop’s reasonable control.

Where U.S. Consumer law requires it, Metricop will maintain a reasonable basis for the stated shipping time and, if shipment cannot be made within the required period, will request consent to the delay or provide the cancellation and refund option required by law.

For Business Customers, time is not of the essence unless a guaranteed date is expressly accepted by Metricop in writing. Metricop is not responsible for the Buyer’s project deadline, site schedule, rental commitment or end-customer promise based on an estimated delivery date.

The Buyer must provide a complete and accurate delivery address, contact information and any information required for customs clearance. Costs caused by an incorrect address, refused delivery, failure to provide import information or failure to collect a shipment may be charged to the Buyer where legally permitted.

Unless a different delivery term or Incoterm is stated in the Order Document, a sale to a Business Customer requiring shipment by carrier is a shipment contract. Risk of loss passes to the Business Customer when conforming goods are duly delivered to the carrier. This does not limit rights relating to non-conforming goods or transport obligations expressly undertaken by Metricop.

For Consumers, transport risk passes at the time required by the mandatory law applicable to the purchase, which may be when the Consumer or a nominated third party physically receives the goods.

10. Inspection and claims

Business Customers must inspect goods promptly after delivery and notify Metricop in writing of any visible shortage, incorrect product, transport damage or apparent non-conformity within five business days.

Latent defects that could not reasonably be identified during initial inspection must be reported promptly after discovery and remain subject to the applicable warranty.

The Buyer must preserve the product, packaging, labels and shipping materials and provide reasonable photographs, video, serial numbers and other evidence requested to investigate a claim.

These notice periods do not reduce mandatory Consumer rights.

11. Cancellations, returns and refunds

All cancellations, returns and refunds are governed by the Returns, Cancellations & Refunds Policy.

Business Customer orders are final once accepted except for materially non-conforming goods, remedies under an applicable written warranty or a return expressly approved by Metricop in writing.

Consumers retain all mandatory cancellation, conformity and refund rights under the law applicable to their purchase.

No product may be returned without prior written approval and an RMA. The authorised return address may differ from the registered address, original shipping location or supplier address.

International Returns

For international orders returned after shipment, any non-refundable customs duties, import taxes, brokerage fees, customs clearance charges, carrier advancement fees, or other governmental import-related charges already incurred and paid by Metricop will be deducted from the final refund amount.

These charges are considered non-recoverable costs once the shipment has entered the destination country and are therefore excluded from any refund, regardless of whether the shipment is accepted, refused, or returned to Metricop.

12. Warranty

Warranty coverage is determined by the product page, Order Document and Limited Warranty & RMA Policy made available for the product.

The warranty may be provided by Metricop, the manufacturer or another identified warranty provider. Warranty duration and scope can differ by product.

A commercial warranty does not replace or reduce any mandatory legal guarantee or other non-waivable Consumer right.

13. Software, licences and digital products

Software, subscriptions, firmware, cloud services and digital licences may be subject to separate terms issued by the manufacturer or licensor. By activating or using them, the Buyer may be required to accept those terms directly.

Licence availability, supported devices, operating systems, update periods, cloud services and third-party integrations may change. Unless Metricop expressly agrees otherwise in writing, the Buyer is responsible for verifying system requirements and maintaining compatible hardware, internet access, accounts and backups.

Activated software, subscriptions and digital licences may be non-cancellable and non-returnable, subject to mandatory Consumer law.

14. Intellectual property

The website, Metricop branding, original text, graphics, layout and other content owned by Metricop are protected by intellectual-property law.

Metricop grants users a limited, revocable and non-exclusive right to access the website for lawful evaluation and purchase of products. No ownership rights are transferred.

Manufacturer names, product names, trademarks, manuals, images and technical documents remain the property of their respective owners and are used for identification and commercial information.

15. Third-party services and links

The website may include links to manufacturer websites, carrier tracking, payment providers, mapping services, videos, documentation or other third-party services.

Metricop does not control third-party services and is not responsible for their independent content, availability, security or privacy practices. Use of a third-party service may be subject to its own terms.

16. Export control and lawful use

Products and technical information may be subject to export, re-export, sanctions, import, radio-frequency, data-protection, surveying, aviation or other regulatory requirements.

The Buyer is responsible for lawful import, registration, licensing and use in the destination country unless Metricop expressly agrees to provide a specific compliance service.

The Buyer must not purchase, export, re-export, transfer or use products in violation of applicable sanctions, export-control laws, prohibited end-use restrictions or rights of third parties.

Metricop may request end-user, destination or compliance information and may refuse or suspend a transaction where reasonably necessary to comply with law.

17. Commercial Sales Terms – Business Customers Only

This section applies exclusively to Business Customers. It does not apply to a Consumer to the extent that Consumer law provides non-waivable rights or remedies.

Buyer responsibility

The Business Customer is responsible for verifying before purchase that the product’s specifications, accuracy, radio frequencies, software, licences, accessories, coordinate-system support, data formats and intended workflow are suitable for its application and lawful in the destination country.

Pre-sales recommendations are based on information provided by the Business Customer and do not replace its professional evaluation, testing or project-specific validation.

Buyer purchase orders

Metricop’s acceptance of a purchase order does not constitute acceptance of additional or conflicting terms printed or referenced in the Business Customer’s purchase order.

Any conflicting terms are rejected unless Metricop expressly accepts them in a separate writing signed by an authorised representative.

Delivery dates and project consequences

Delivery and lead-time statements are estimates unless Metricop expressly confirms a guaranteed date in writing.

Time is not of the essence. Metricop is not responsible for project delay, site downtime, labour cost, equipment-rental expense, survey rework or end-customer commitments arising from reliance on an estimated delivery date.

Limited remedy

For a valid claim involving non-conforming goods, Metricop may, at its option and subject to the applicable written warranty, repair the affected product, replace it, provide an appropriate credit or refund the price paid for the affected product.

THIS REMEDY IS EXCLUSIVE TO THE MAXIMUM EXTENT PERMITTED BY LAW. IF AN EXCLUSIVE OR LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, THE REMEDIES AVAILABLE UNDER APPLICABLE LAW WILL APPLY.

Warranty limitation

EXCEPT FOR AN EXPRESS WRITTEN WARRANTY OR CONDITION STATEMENT PROVIDED WITH THE PRODUCT OR ORDER DOCUMENT, METRICOP DISCLAIMS ALL IMPLIED WARRANTIES APPLICABLE TO A BUSINESS SALE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

PRE-OWNED PRODUCTS EXPRESSLY IDENTIFIED IN WRITING AS “AS IS” OR “WITH ALL FAULTS” ARE SOLD SUBJECT ONLY TO THE EXPRESS CONDITION STATEMENT OR LIMITED WARRANTY, IF ANY, PROVIDED IN WRITING.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRICOP WILL NOT BE LIABLE TO A BUSINESS CUSTOMER FOR LOST PROFIT, LOST REVENUE, LOSS OF DATA, LOSS OF PRODUCTION, SURVEY REWORK, PROJECT DELAY, DOWNTIME, SUBSTITUTE EQUIPMENT, LOSS OF CONTRACT OR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES.

METRICOP’S TOTAL AGGREGATE LIABILITY ARISING FROM AN ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO METRICOP FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not apply to fraud, wilful misconduct, death or personal injury caused by liability that cannot lawfully be excluded, or any other liability that applicable law does not permit the parties to limit.

Business indemnity

The Business Customer will indemnify Metricop against third-party claims, penalties and reasonable costs arising directly from:

  • unlawful import, export, re-export or use by the Business Customer;

  • use contrary to published safety instructions;

  • specifications, designs or materials supplied by the Business Customer that infringe third-party rights; or

  • material breach of this section by the Business Customer.

This obligation does not apply to the extent a claim was caused by Metricop’s own breach, negligence or unlawful conduct.

18. Consumer rights

Consumers retain all mandatory rights provided by the law applicable to their purchase.

Nothing in these Terms limits statutory rights relating to pre-contract information, cancellation of distance contracts, delivery, defective or non-conforming goods, legal guarantees, refunds or access to courts.

For EU Consumers, an additional commercial warranty does not replace or reduce the applicable legal guarantee of conformity. For UK Consumers, statutory rights under applicable consumer law remain unaffected.

If a Consumer-protection rule conflicts with these Terms, the mandatory Consumer-protection rule applies.

19. Force majeure

Metricop is not liable for delay or failure caused by events beyond its reasonable control, including natural disaster, war, terrorism, civil disturbance, epidemic, labour dispute, government action, export restriction, carrier disruption, customs hold, power or network failure, cyberattack, fire, flood, supplier interruption or shortage of materials.

Metricop will take commercially reasonable steps to reduce the effect of the event and will notify the Buyer when it materially affects an accepted order. Consumer cancellation and refund rights required by law remain unaffected.

20. Disclaimer relating to website availability

The website is provided on an “as available” basis. We do not guarantee uninterrupted or error-free access.

This website disclaimer does not limit obligations relating to goods already purchased or liability that cannot lawfully be excluded.

21. Governing law and jurisdiction

Business transactions with Surveying Equipment Metricop LLC are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute involving a Business Customer will be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming, unless Metricop and the Business Customer agree to another dispute-resolution procedure in writing.

For Consumers, this section does not deprive the Consumer of mandatory protections, rights to bring proceedings or rules on applicable law available in the Consumer’s country of habitual residence.

22. Changes to these Terms

We may update these Terms to reflect changes in law, technology or business operations. The updated version will be published with a new effective date.

Changes do not apply retroactively to an accepted order unless the parties expressly agree or the change is required by law.

23. General provisions

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be applied to the maximum extent legally permitted.

A failure to enforce a provision is not a waiver of that provision.

The Buyer may not assign an accepted order without Metricop’s prior written consent. Metricop may assign rights or obligations as part of a merger, reorganisation, sale of business or transfer to an affiliate, provided mandatory Consumer rights are not reduced.

The applicable Order Document, these Terms and the incorporated policies form the entire agreement relating to the order, except for fraud or an express written agreement signed by both parties.
